The https://getstealthid.com/ website (the “Site”) is comprised of various web pages operated by Whatbox Digital, LLC (“Whatbox Digital”). https://getstealthid.com/ is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of https://getstealthid.com/ constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

This website is for the purpose of promoting the consulting and marketing services of Whatbox Digital, as well as providing valuable content to help our audience grow their businesses smarter and faster.

What It Is

The Small Business Marketing Accelerator Affiliate Program with Whatbox Digital, LLC allows you to be an affiliate for the Small Business Marketing Accelerator provided by Whatbox Digital, LLC, and make a commission on each new paying subscriber that enrolls for the service through you. The Small Business Marketing Accelerator VIP Affiliate Partner Program is described in further detail below.

What To Do As An Affiliate

Whenever you tell a potential new subscriber about the Small Business Marketing Accelerator by Whatbox Digital, LLC, and you notify Whatbox Digital, LLC of your referral ahead of time, we will take care of the rest. It’s essential and required that you notify Whatbox Digital, LLC in writing via email that you’ve referred a new customer prior to the customer signing up for our program. When a new customer subscribes to the Small Business Marketing Accelerator and continues their subscription through a “hold” period, you’ll receive a commission on their monthly payments as a Small Business Marketing Accelerator subscriber and customer, and a registered affiliate partner.

VIP Affiliate Partner Requirements

To qualify and remain qualified as a Small Business Marketing Accelerator VIP Affiliate Partner, the following requirements are necessary to both become and continue to remain a VIP Affiliate Partner. Should any of the ongoing requirements fail to be met by you as a VIP Affiliate Partner, then you would forfeit further revenue share distributions and lose your status as a VIP Affiliate Partner.

To become a VIP Affiliate Partner, you must first become a paying Small Business Marketing Accelerator customer. Should you close your account and subscription, you would no longer be eligible as a VIP Affiliate Partner, and all further commission distributions would be stopped. You must also register as a VIP Affiliate Partner via the Whatbox Digital, LLC website at the following URL: https://getstealthid.com//affiliates .

Commission distributions are based upon the following benchmark and ongoing requirements.

Tier 1 Affiliate Partners will be eligible to receive up to 10% monthly commissions for each active account that is referred by you as an affiliate. (Commissions are based only on the base monthly fees for Starter Plan or Pro Plan customers. Additional hourly bundles, monthly expansion packs, or any other type of sale are excluded from commissions and are not eligible for payouts.) You must have a minimum of 1 active account referred within the first 90 days of registering as an affiliate. You must have at least one new paying customer referred and signed up every 3 months to meet requirements and remain eligible for future commission distribution payouts.

Tier 2 Affiliate Partners will be eligible to receive up to 15% monthly commissions for each active account that is referred by you as an affiliate. (Commissions are based only on the base monthly fees for Starter Plan or Pro Plan customers. Additional hourly bundles, monthly expansion packs, or any other type of sale is excluded from commissions and are not eligible for payouts.) You must have a minimum of 3 active accounts referred to be eligible for a Tier 2 affiliate commission. You must have at least 1 new paying customer referred and signed up every 3 months to meet requirements and remain eligible for future commission distribution payouts.

Tier 3 Affiliate Partners will be eligible to receive up to 20% monthly commissions for each active account that is referred by you as an affiliate. (Commissions are based only on the base monthly fees for Starter Plan or Pro Plan customers. Additional hourly bundles, monthly expansion packs, or any other type of sale are excluded from commissions and are not eligible for payouts.) You must have a minimum of 10 active accounts referred to be eligible for a Tier 3 affiliate commission. You must have at least 1 new paying customer referred and signed up every 3 months to meet requirements and remain eligible for future commission distribution payouts.

Tier 4 Affiliate Partners will be eligible to receive up to 25% monthly commissions for each active account that is referred by you as an affiliate. (Commissions are based only on the base monthly fees for Starter Plan or Pro Plan customers. Additional hourly bundles, monthly expansion packs, or any other type of sale are excluded from commissions and are not eligible for payouts.) You must have a minimum of 15 active accounts referred to be eligible for a Tier 3 affiliate commission. You must have at least 1 new paying customer referred and signed up every 3 months to meet requirements and remain eligible for future commission distribution payouts.

Should you meet the minimum requirements of referred active customer accounts and one of your referred affiliate accounts cancel their service, this would affect your total number of active referred affiliate customer accounts. If a lost customer account that was referred to Whatbox Digital, LLC by you as an affiliate, and you drop beneath the minimum tier requirements for your eligible commission percentages, then your affiliate distribution payouts will be demoted down to the next tier beneath your current tier, and affiliate commission distribution percentages will be reduced according to the new tier you’re eligible for.

Should you as an affiliate fail to meet all of the affiliate requirements, including not delivering the minimum number of required new customers within any 3-month designated time period, your affiliate status will be terminated, and all affiliate accounts earned up to that point will be forfeited. Should you lose affiliate status by failing to meet all of the minimum requirements, a new affiliate application will have to be filed, and at least one new referred customer would have to be secured to be re-eligible for affiliate status, and only new referred customers from the point where you’re re-approved as an affiliate will be credited to your affiliate account for earned commission payouts will be included, and any previously referred commission payouts would still be forfeited.

Changes & Updates

Whatbox Digital, LLC does and must reserve the right to change any or all of the terms and conditions for our VIP Affiliate Partner Program at any time for any reason, without any notice.

What Whatbox Digital, LLC Expects From Affiliates

We expect affiliates to act as advocates and ambassadors of the Whatbox Digital, LLC brand. This includes having an understanding and knowledge of how our Services work. Customer service is one of our top priorities. With that in mind, there are a number of rules that each affiliate must follow as explained in the terms below.

Whatbox Digital wants you to succeed.

During your experience as a Small Business Marketing Accelerator VIP Affiliate Partner with Whatbox Digital, LLC, we will regularly send you updates on the latest improvements to our Services and information about updates to the Services to help potential subscribers choose our Service. As your performance as an affiliate develops, Whatbox Digital, LLC will look for opportunities to provide additional materials and incentives to help you continue to grow. Whatbox Digital, LLC will provide a commission to affiliates depending on tiers determined by the eligibility requirements listed here in the Terms & Conditions. We may revise or change our pricing and commission structure at any time at our discretion.

The VIP Affiliate Partner Program Agreement

This VIP Affiliate Partner Program Agreement (this “Agreement”) contains the complete terms and conditions that apply to your participation in Whatbox Digital, LLC’s VIP Affiliate Partner Program for the Small Business Marketing Accelerator service. As used in this Agreement, “we,” “us” or “Whatbox Digital, LLC” means Whatbox Digital, LLC, and “you,” “your” or “Affiliate,” means you as the affiliate participating in this program.  “Affiliate Referral Program” means the program we manage or control by which participating entities place links on their Affiliate Site that connect to the Whatbox Digital website and for which a commission is earned for new Small Business Marketing Accelerator paying subscribers.

Participation

a. You must sign up for a paid account as a subscriber to join the VIP Affiliate Partner Program for the Small Business Marketing Accelerator. In signing up for an account, you are agreeing to be bound by Whatbox Digital, LLC’s Terms & Conditions/Terms of Service, including our Privacy Policy. Once registered, and we have approved your enrollment, you become a participant in the VIP Affiliate Partner Program. Current and former Whatbox Digital, LLC contractors, employees, and members of Whatbox Digital, LLC’s employees’ immediate families are prohibited from participating in the VIP Affiliate Partner Program.

b. We use PayPal to remit commissions to our affiliates. In order for us to pay you your commissions, you must have a PayPal account linked to the e-mail address you used when registering for a VIP Affiliate Partner Program account. PayPal is a third-party service provider, and your use of PayPal is subject to the terms and conditions of PayPal, Inc. Whatbox Digital, LLC will not have any liability or support obligations for any issues relating to your PayPal account.

c. VIP Affiliate Partners are not eligible for commissions from their own personal Small Business Marketing Accelerator accounts or any account directly linked to them, including referred accounts with exact same names, billing addresses, or e-mail addresses.

Restricted Activities

a. General Restrictions. Affiliate will conduct its business and activities in a manner that promotes a good, positive image and reputation for Whatbox Digital, LLC and the Services. Without limiting the generality of the foregoing, Affiliate will not:

i. Use any inappropriate form of promotional, marketing, or advertising activity which includes the use of any misleading hyperlinks and making any false, misleading, or disparaging representations or statements with regard to Whatbox Digital, LLC and the Services;

ii. Engage in any unfair or deceptive trade practice involving the Services;

iii. Participate in any promotion, advertising, marketing, or sale of any imitation of the Services;

iv. Include or provide for in any Affiliate Site any page, screen, or social media platform that contains content that: advocates discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; promotes or engages in illegal activities; violates intellectual property rights of third parties; or contains or promotes deceptive information;

v. Impersonate any Whatbox Digital, LLC employee, vendor, or contractor;

vi. Use any Marks to mislead potential new subscribers into believing you are endorsed or employed by Whatbox Digital, LLC;

vii. Use the string “Whatbox Digital” for any website domain name;

viii. Spam or send bulk-emails including Links;

ix. Use its own Link to purchase any Services; and

x. Make or authorize any proposal, representation, warranty, guarantee, or communication relating to the Services that is inconsistent with Whatbox Digital’s standard terms and policies, or that has not been approved or otherwise authorized by Whatbox Digital, LLC in writing.

xi. make or authorize any proposal, representation, warranty, guarantee, or communication relating to the Services that is inconsistent with ActiveCampaign’s standard terms and policies, or that has not been approved or otherwise authorized by ActiveCampaign in writing.

b. Export Controls and Sanctions Compliance. You understand and agree that:

i. The receipt and use of the Services may be subject to export control and economic sanctions laws of the United States and other applicable government authorities (“Export Control and Sanctions Laws”). You agree to abide by all Export Control and Sanctions Laws as they relate to your access, use, and recommendation of the Services;

ii. You will not, directly or indirectly, access or use the Services if you are located in a jurisdiction where the provision of the Services is prohibited by law (a “Prohibited Jurisdiction”).

iii. You will not allow potential subscribers who are: (A) located in any Prohibited Jurisdiction; or (B) identified on the U.S. Treasury Department’s list of Specially Designated Nationals, the U.S. Department of Commerce’s Denied Persons List or Entity List, or subject to any other export control or economic sanctions lists or programs, to register for Small Business Marketing Toolkit.

iv. You represent and warrant that: (A) you are not named on or subject to any government sanctions programs or list of persons or entities prohibited from receiving U.S. exports or engaging in transactions with any U.S. person; (B) you are not located in, or a company registered in, any Prohibited Jurisdiction; and (C) you will comply with all applicable laws regarding the transmission of technical data exported from the United States and the country in which you are located.

c. Anti-Corruption Compliance. You understand and agree that:

i. You will comply with all applicable United States and international anti-corruption and anti-bribery laws and regulations, including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, and others, as they relate to your access, use, and resale of the Services;

ii. You will not, directly or indirectly offer, promise, or give any payment or anything of value to a government official, or any other individual or entity, where the intent is to improperly influence any act or decision of the government official, or other individual or entity, to obtain or retain business or some other benefit or commercial advantage;

iii. You will not, directly or indirectly, solicit or accept any sort of payment or anything of value from anyone, where the intent is to improperly influence any act by you, any third-party acting on your behalf, or Whatbox Digital, LLC; and

iv. You acknowledge that you have not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value in connection with this Agreement.

Commissions

a. All Affiliates are required to complete and submit proper tax information to Whatbox Digital, LLC before commission payments will be issued.

b. You don’t have to worry about collecting any funds from any of the new subscribers you refer to us. Whatbox Digital, LLC will bill the customer directly and will be solely responsible for collecting payment. When a new customer subscribes to the Services and continues a paid subscription for at least 60 days, we’ll then pay you a commission based on the amount of the monthly payments we collect from them as a Small Business Marketing Accelerator subscriber, including those amounts we collected in the first 60 days. The base commission for any affiliate is twenty percent (10%) of the monthly revenue received from such subscribers.

c. Approved commissions following the first 60-day period will be payable to you within 30 days of the end of each calendar month. We will pay you your commission through your PayPal account.

d. At Whatbox Digital’s discretion, it may increase or lower affiliate commissions based on performance on a case-by-case basis and may revert back to the original percentage if performance does not remain consistent. Whatbox Digital does not guarantee increases in commission to any affiliate, and Whatbox Digital retains the right to change, modify, or cancel any commission plan at any time.

Term & Termination

a. The term of this Agreement (the “Term”) will begin upon your acceptance of this Agreement and will end when terminated. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other written notice (email) of termination.

b. You are only eligible to earn commissions on new subscriptions occurring during the Term and that remain subscribed for at least 60 days as of the effective date of termination. Whatbox Digital, LLC may, in its sole discretion, pay you commissions for any new subscribers that remain subscribed for 60 days after the effective date of termination, but has no obligation to do so.

Termination For Misconduct

Whatbox Digital, LLC reserves the right to immediately terminate any client or customer relationship, suspend or delete any client account, suspend or delete any Small Business Marketing Accelerator account, suspend or delete any Small Business Marketing Accelerator affiliate account, and prohibit access to this website or its content, including any software accounts, in the event the customer or client engages in any conduct that Whatbox Digital, in its sole discretion, considers to be unacceptable or harmful to Whatbox Digital’s employees, vendors, contractors, or business interests. Such conduct includes but is not limited to:

• Verbal abuse, threats, intimidation, bullying, or harassment of any Whatbox Digital employee, vendor, or contractor, whether in person, over the telephone, or through written or electronic communication.
• Knowingly providing false, misleading, or fraudulent information to Whatbox Digital or its representatives.
• Attempts to solicit personal or inappropriate relationships with Whatbox Digital employees, vendors, or contractors.
• Acts of violence or threats thereof, whether direct or indirect, to any Whatbox Digital employee, vendor, contractor, or property.
• Any unlawful activity conducted through or in association with the client’s account or use of Whatbox Digital’s services.
• Failure to cooperate with any Whatbox Digital investigation regarding allegations of misconduct under this provision.

Whatbox Digital has the sole authority to determine what conduct it considers unacceptable or harmful. Clients acknowledge and agree that Whatbox Digital may report any unlawful conduct to appropriate authorities. Customers and Clients waive and release Whatbox Digital from any and all claims relating to any termination of their account or suspension of service under this provision.

Disclaimer of Warranty & Limitation Of Liability

a. Whatbox Digital, LLC will remain solely responsible for the operation of the Whatbox Digital website and Services, and you will remain solely responsible for the operation of any Affiliate Site should you decide to have one. Each party acknowledges that (i) their respective sites may be subject to temporary downtime due to causes beyond their reasonable control, and (ii) it retains sole right and control over the programming, content, and conduct of transactions over its respective site or service.

b. EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES PROVIDED IN THIS AGREEMENT, THE SERVICES AND VIP AFFILIATE PARTNER PROGRAM ARE PROVIDED “AS IS,” AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WHATBOX DIGITAL, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR THROUGH COURSE OF DEALING, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY REGARDING (I) THE AMOUNT OF COMMISSIONS AFFILIATE MAY GENERATE DURING THE TERM, AND (II) ANY ECONOMIC OR OTHER BENEFIT THAT AFFILIATE MIGHT OBTAIN THROUGH ITS PARTICIPATION IN THIS AGREEMENT.

c.UNDER NO CIRCUMSTANCES WILL WHATBOX DIGITAL, LLC BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING ANY CLAIMS FOR LOST PROFITS, LOST BUSINESS, OR LOST DATA) ARISING OUT OF THIS AGREEMENT, EVEN IF WHATBOX DIGITAL, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. WHATBOX DIGITAL LLC’S ENTIRE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHER CAUSE OF ACTION WILL NOT EXCEED THE AMOUNTS PAID TO AFFILIATE UNDER THIS AGREEMENT IN THE THREE-MONTH PERIOD PRECEDING THE DATE ON WHICH THE CLAIM AROSE.

Indemnification

You agree to indemnify, defend and hold harmless Whatbox Digital, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Whatbox Digital reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Whatbox Digital in asserting any available defenses.

Arbitration

In the event, the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in Harris County, Texas. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding, or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regard to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision, shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Whatbox Digital agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. WHATBOX DIGITAL, LLC, AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

WHATBOX DIGITAL, LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. WHATBOX DIGITAL, LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHATBOX DIGITAL, LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF WHATBOX DIGITAL, LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/Access Restriction

Whatbox Digital reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Texas and you hereby consent to the exclusive jurisdiction and venue of courts in Texas in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Whatbox Digital as a result of this agreement or use of the Site. Whatbox Digital’s performance of this agreement is subject to existing laws and legal processes, and nothing contained in this agreement is in derogation of Whatbox Digital’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Whatbox Digital with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Whatbox Digital with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and Whatbox Digital with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be written in English.

General Provisions

a. You and Whatbox Digital are entering this Agreement as independent contractors, and nothing will be construed to create a partnership, agency, joint venture or employment relationship between you and us.

b. Neither you nor we will be considered to be in breach of or default under this Agreement on account of any delay or failure to perform as a result of any causes or conditions that are beyond our respective reasonable control. If any force majeure event occurs, the affected party will give prompt written notice to the other and will use commercially reasonable efforts to minimize the impact of the event.

c. This Agreement has been made in and shall be construed and enforced in accordance with the laws of the State of Texas, without reference to its conflict of laws provisions. You and Whatbox Digital, LLC expressly agree to exclusive jurisdiction in Harris or Montgomery Counties in Texas.

d. Any notices under this Agreement will be given in writing. Notices may be given via electronic means, including by Whatbox Digital sending an email notification to the address associated with your account or providing notice through our Services, and will be deemed delivered and given for all purposes on the sent date, but, in the case of notices to Whatbox Digital, only if Whatbox Digital has confirmed its receipt by return electronic mail. Notices sent via traditional means will be sent via postal mail or certified mail, return receipt requested. Notices to Whatbox Digital will be sent to:

e. You may not assign this Agreement, in whole or in part, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns.

f. The failure of either you or us to enforce any provision of this Agreement will not constitute a waiver of the right to subsequently enforce the provision. Any remedies specified in this Agreement are in addition to any other remedies that may be available at law or in equity.

g. This Agreement represents the entire agreement between you and us with respect to the subject matter covered by this Agreement and supersedes any other oral or written agreements regarding such subject matter, and may be amended or modified only by a written instrument signed by a duly authorized agent of each party.

h. If any provision of this Agreement is determined to be invalid, unlawful, void, or unenforceable to any extent, such provision will be interpreted to best reflect the parties’ intent, and the remainder of this Agreement will not be affected and will continue to be valid and enforceable to the fullest extent permitted by law.

Changes to Terms

Whatbox Digital reserves the right, in its sole discretion, to change the Terms under which https://getstealthid.com/ is offered. The most current version of the Terms will supersede all previous versions. Whatbox Digital encourages you to periodically review the Terms to stay informed of our updates.
